The seven questions that get asked, answered plainly, and the list of what opens under a confidentiality agreement.
1. What is the instrument, and what are its terms?
Priced equity, at the pre- and post-money valuation stated on the ask page. It is not a SAFE and not a convertible note, so there is no valuation cap, no discount and no most-favoured-nation clause — the price is set now rather than deferred to a later round. The minimum ticket and the tier structure are on the ask page, and every figure on every page of this kit is read from one place in the code.
2. Why this amount?
Because it is what the eighteen-month plan costs, not because it is a round number. The plan funds five workstreams — catalog and artist development, rights and royalty administration, audience and commercial development, platform and infrastructure, and a reserve — in the proportions published on the ask page. Asking for more would mean padding the plan; asking for less would mean cutting the rights administration, which is the line that makes the rest of it honest.
3. What does my ticket dilute to?
The dilution table on the ask page states the share of the company every published ticket represents at the stated post-money valuation. That is the only cap-table figure this kit publishes. The existing cap table, including the group’s position, opens under a confidentiality agreement.
4. What is available under NDA, and how do I get it?
The list is below. Ask at invest@cemi.ai, sign the agreement, and the materials follow within two business days.
5. How does this round relate to CEMI.ai?
MaiMusic is one of the CEMI.ai initiatives, and CEMI is open to investment at two levels. At group level, backing the shared platform — the Personai engine, CEMI Factory and CEMI Solutions — which compounds across the whole portfolio. At initiative level, backing a specific sector business approaching commercialization, with its own market, its own customers and its own economics. This round is at initiative level. 6. What are the exit paths?
No exit is promised and none is forecast here. The paths a company of this shape has are the ordinary ones — acquisition of the catalog and the rights by a label, publisher or rights aggregator; acquisition of the platform and the production system by a larger media or technology group; a later priced round; or a long hold on catalog and licensing income with distributions rather than a sale. Which of these is pursued is a decision for the board and the principal, not a projection this page is entitled to make.
7. What happens if the round does not close?
MaiMusic continues. The catalog, the platform and the production house exist and are operated on shared group infrastructure, and nothing in this plan is a rescue. What a failed round costs is speed: the release cycle slows, rights and royalty administration stays manual for longer, and commercial outreach stays occasional rather than dedicated. If the round closes at or above the minimum viable close, the catalog and rights workstreams proceed and the rest waits.
